In our knowledge-based society, the significance of patents, trademarks or other IP-rights is increasing. This thesis investigates the importance of Intellectual Property during a company transaction. It analyses the theoretical basics and the options of both parties dur-ing the process. The investigation shows, that acquirer and vendor pursue opposing interests, especially at the beginning of the transaction. The vendor intends to keep his knowledge secret as long as possible, whereas the acquirer demands a detailed disclosure. But in the course of the process, the parties converge. They have to include the Intellectual Property of the target company in all steps of the transaction. However towards the end of the process, IP-rights must be regarded in the context of the legal structure of the transaction.
