This thesis uses theoretical considerations and empirical literature to examine the (i) structure and (ii) determinants of the restrictiveness of financial covenants in loans used to finance leveraged buyouts (LBOs). It is the first academic work that provides a detailed analysis of financial covenants in LBOs by examining proprietary loan contracts and financial information negotiated between banks and private equity sponsors for 130 LBO deals. With respect to (i) the thesis analyzes the types of financial covenants in sponsored loans and in comparable non-sponsored loans. The results show that sponsored loans exhibit less variation in the included types and combinations of covenants and include more financial covenants than comparable non-sponsored loans. With respect to (ii) the nature of the proprietary data allows to measure financial covenant restrictiveness precisely as the distance between threshold and financial forecast, which is known as headroom. The thesis shows that expected growth, profitability, leverage and sponsor reputation determine financial covenant restrictiveness.     «

Auf Basis theoretischer Überlegungen und empirischer Literatur adressiert die Dissertation die Struktur und die Determinanten der Restriktivität von Financial Covenants in Krediten zur Finanzierung von Leveraged Buyouts (LBOs). Hierfür werden 130 Kreditverträge und Finanzpläne empirisch analysiert. Um die Struktur der Financial Covenants zu beleuchten, werden die in LBO-Krediten verwendeten Typen mit solchen verglichen, die in ähnlichen Unternehmenskrediten inkludiert sind. Die Analyse zeigt, dass LBO-Kredite sowohl im Bezug auf verwendete Typen als auch gängiger Kombinationen von Financial Covenants weniger Variation aufweisen. Die zu Grunde liegenden, proprietären Daten ermöglichen zudem eine genaue Messung der Restriktivität von Financial Covenants als die Distanz zwischen der vertraglich erlaubten Grenze der Finanzkennzahl und ihres in den Finanzplänen festgelegten Wertes. Die Untersuchung zeigt, dass Wachstum, Profitabilität und Verschuldung des Unternehmens, wie auch Reputation des Private-Equity-Investors die Restriktivität von Financial Covenants maßgeblich determinieren.     «
